WHEREAS, TonPsy has Patients seeking independent psychologists who are capable of consistently providing therapy services in a highly competent, professional, and superior manner, rendered in accordance with industry standards to meet the needs of TonPsy’s Patients; and WHEREAS, TonPsy regards you (whether an individual or company) as being capable of providing high quality independent therapy services that TonPsy wishes to make available to its Patients; and WHEREAS, the parties understand that each is free to contract with others in the industry you have the right to provide independent therapy services to the general public, or to the Patients of other companies that provide a service similar to TonPsy, or to your own Patients as part of your own trade or business, and TonPsy likewise has the right to contract with other individuals or businesses providing independent psychological services; and WHEREAS, nothing in this Agreement affects or impairs your right to conduct and maintain your own independent therapy trade or business and to do so in any manner you see fit; and WHEREAS, both you and TonPsy wish to enter into this Agreement, understanding that both have the right to negotiate each of the terms and conditions set forth below, including the fees and services set forth in Exhibit A attached to this Agreement. NOW, THEREFORE, the parties agree as follows :

I. Therapy services and fees

A. Psychological Services

You agree to provide independent therapy services for TonPsy’s Patients (“Patients”) in the language(s) set forth in Exhibit A, which may be amended from time to time and may also include any specialized type of therapy service you are qualified to perform. In performing any such services for TonPsy’s Patients, you agree to do so in accordance with industry standards for the therapy industry, consistent with any applicable code of conduct, rules, laws, standards, practices, or procedures issued by a judicial, legislative, or executive governmental authority or by an organization recognized as setting industry standards or best practices.

B. Acceptance of Independent Assignments

TonPsy shall offer you, at its sole discretion, independent Therapy Assignments. You may accept or reject such Assignments at your sole discretion. It is understood that you shall have no obligation to accept any particular independent Assignment(s) but, if you do, you shall provide such services in a competent, professional, and accurate manner, rendered in accordance with the provisions of section I.A., above. By your acceptance of each Assignment, you agree and warrant that you are qualified and capable of providing the services required by the patient for such Assignment. It is also understood and agreed that TonPsy shall have no obligation or responsibility to provide therapy or psychological services to Patients with respect to any and all Assignments you have accepted; rather, TonPsy shall be relying upon you to provide the actual therapy or psychological services.

C. Patient Requirements

In connection with any particular Assignment or group of Assignments you accept, you agree to provide such services to the patient in conformity with all lawful patient requirements that areTonPsy Independent Therapy Agreement (continued) communicated to you by the patient (or by TonPsy, on behalf of the patient), adhering at all times with the privacy, confidentiality, and non-disclosure requirements of TonPsy and/or its Patients.

D. No Minimums or Maximums by Either Party

The parties understand and agree that TonPsy is not required to provide you with a minimum or maximum number of independent Assignments and you are not required to accept a minimum or maximum number of Assignments.

E. Fees

TonPsy agrees to pay therapy fees to you for your actual Psychological service provided to TonPsy’s Patients in the amount and in the manner set forth in Exhibit A, which the parties acknowledge, is subject to bargaining and mutual negotiation between the parties. Nothing set forth in this Agreement shall prevent either party from seeking to renegotiate and bargain for a change in the therapy fees paid to you during the term of this Agreement.

F. Access to TonPsy Patients

TonPsy agrees to provide you with access to its Patients by communicating to you all necessary patient contact information, if applicable, so that you may provide services in connection with any Assignments you have accepted. You agree to use such patient contact information only for purposes of providing services under this Agreement and for no other purpose.

II. Term, automatic renewal and termination

A. Term and Automatic Renewal

Unless otherwise negotiated as set forth in Exhibit A, this Agreement shall continue for a one-year period and shall not be terminated except in accordance with the provisions of this Agreement. The parties understand and agree that the Term shall renew automatically for successive one-year periods (or other period as set forth in Exhibit A) on the renewal date(s) of this Agreement, unless terminated earlier in accordance with the provisions of this Agreement.

B. Termination

Either party may terminate this Agreement upon written notice in the event the non-terminating party engages in a material breach of any provision of this Agreement or fails to honor any representation or warranty made to the other party. Either party may otherwise terminate this Agreement only after providing written notice to the other party of that party’s intent not to renew this Agreement. The written notice shall be not less than thirty (30) days prior to the date of expiration of the initial Term or a renewal Term.

III. Representations and warranties

(Note: Do Not Sign This Agreement if Any Representation Below Is Inaccurate in Any Respect.) (Note: Correct any Representation Below Before Signing this Agreement, and Initial Any Such Corrections.)

A. Adherence to Industry Standards

You represent that you are qualified and capable of providing Psychological services meeting industry standards and all requirements set forth in section I.A., above, in any language, industry, and type of independent therapy services listed in Exhibit A. You also warrant that you shall adhere at all times to industry standards for quality, process, procedure, and professionalism during the performance of your services in all Assignments.

B. No Conflicting Obligations

You represent and warrant that you have the full right and authority to enter into this Agreement to provide the agreed upon services to the Patients of TonPsy, and that your services under this Agreement will not interfere or conflict with any obligations you may have to third parties and shall not be rendered in violation of any legal rights of any third party, TonPsy, or a patient of TonPsy.

C. Compliance with Law

You warrant that you shall provide the agreed upon services in accordance with the standards of the therapy industry and any applicable code of conduct, rules, laws, standards, practices, or procedures issued by a judicial, legislative, or executive governmental authority or by an organization recognized as setting industry standards or best practices. D. Independent Trade, Occupation, Profession, or Business

You represent that you are engaged in an independently established trade, occupation, profession, and/or business in the therapy industry.

IV. The parties’ business relationship

A. Independent Contractor

For purposes of this Agreement, your business relationship with TonPsy and our Patients shall be and remain that of an independent contractor and not an agent, employee, joint venturer, or partner of TonPsy or our Patients for any reason.

B. No Authority to Bind Company

You have no authority to bind or act on behalf of TonPsy or hold yourself out to third parties as having any such authority. You may identify yourself as an independent contractor to TonPsy. TonPsy agrees that it may not hold you out as an employee of TonPsy.

C. Determination of the Manner and Means to Perform the Services; Order and Sequence of Work

You have the sole right and responsibility to determine the manner, methods, and means of performance by which you shall render your services under this Agreement. You are solely responsible for determining the order and sequence of how the services under this Agreement shall be provided, subject to and consistent with industry standards and the patient requirements of any Assignment you chose to accept. ## D. Delegation, Assignment, and Subcontracting

Upon prior notice to TonPsy, your duties and obligations under this Agreement with respect to any independent Assignment or group of Assignments may be delegated, assigned, or subcontracted to another person who is in all respects as qualified as you are to perform the services under this Agreement consistent with the provisions of Section III, above. By your delegating, assigning, or subcontracting any Assignment(s) you have accepted to any other person, you represent and warrant to TonPsy that such other person satisfies and/or will satisfy the provisions of Section III, above and will fully comply with patient specified requirements (which TonPsy can provide upon request). As an alternative, you may request that TonPsy, as a courtesy, provide a replacement for you if you are unable or unwilling to perform an Assignment you have accepted, including due to illness or unexpected unavailability, but it is understood and agreed that TonPsy is not required to do so. ## E. Schedule and Hours of Work, Time Off, Absences, and Location of Services Performed

You are solely responsible for determining your own schedule, hours of work, time off, breaks, absences, and location of where to perform services under this Agreement, consistent with the nature of the services being provided by you and any specific patient requirements. Nothing in this Agreement shall require you to perform your services at any particular times or locations unless you agree to accept an Assignment that is scheduled by the patient for a specific time and/or location. It is understood that you are not required, expected, or permitted to perform services at any of TonPsy’s places of business. ## F. No Training, Meetings, Seminars, Instructions, Directions, or Observation of Work

As an experienced Therapy, TonPsy shall have no obligation to provide, and agrees that it shall not provide, any training, instructions, or directions for you in the performance of your services under this Agreement. You are not required to attend any training sessions, meetings, or seminars offered by TonPsy or by any other companies or organizations, but you may, if you so choose, avail yourself of any continuing education seminars and presentations offered by TonPsy to the general public at no cost on the subject of best practices for psychologists and/or therapists. The only exceptions are (a) any training or continuing education presentations required by a judicial or other governmental agency Patients of TonPsy with respect to a specialized type of therapy or psychological, but only if you wish to accept Assignments providing such services to any such Patients of TonPsy; and (b) any training or continuing education requirements imposed by an industry association providing certifications of special competency, but only if a patient of TonPsy requires that psychologists or therapists provided by TonPsy must be certified by such association in order to fulfill the patient’s requirements and you wish to accept Assignments requiring any such certification. ## G. No Supervision, Reports, or Daily Logs

You are solely responsible for supervising your own services and the services of any person to whom you have delegated, assigned, or subcontracted your services under this Agreement. TonPsy shall have no right to supervise your services or the services of any person to whom you have delegated, assigned or subcontracted your services, nor shall you be required to supervise the work of any TonPsy employee. You are not required or expected to submit any oral or written reports or daily logs to TonPsy.

H. Additional Terms and Conditions of the Parties’ Business Relationship

Attached as Exhibit B are additional terms and conditions of your business relationship with TonPsy. Those terms and conditions are an integral part of this Agreement. Please read them carefully.

V. Miscellaneous

A. Effectiveness of Modifications or Amendments

Exhibit A may be amended or modified by any communication signed by you and an authorized representative of TonPsy, including an e-mail or fax sent between the parties confirming any such changes to Exhibit A. Except for agreed upon changes to Exhibit A, this Agreement (including Exhibit B) may be modified or amended only in writing signed by you and either the President or Chief Operating Officer of TonPsy. Except with respect to the terms set forth on Exhibit A, any action or statement by any manager, supervisor, officer, agent or employee of TonPsy that is at variance with the other terms and conditions of this Agreement (including Exhibit B) are unauthorized, are null and void, and should be wholly disregarded by both of the parties to this Agreement.

B. Entire Agreement; No Other Agreements; Recitals; Headings

This document (including Exhibits A and B) contains the entire agreement of the parties with respect to this Therapy relationship; it supersedes all prior representations by either of the parties and replaces any prior agreements between the parties, which are hereby terminated and shall no longer be of any legal force and effect. The “WHEREAS” recitals on page 1 of this Agreement are an integral part of this Agreement and reflect the parties’ understandings. In contrast, the headings in this Agreement are not part of the Agreement; they are solely for the convenience of the parties.

This Agreement will be governed for all purposes by the substantive laws of the Commonwealth of Pennsylvania, where TonPsy has its principal place of business and not by the laws of any other state or jurisdiction. If any provision of this Agreement is declared void or unenforceable, that provision will be deemed severed from this Agreement, which will otherwise remain in full force and effect. You consent to TonPsy’s assignment of this Agreement and its rights hereunder to any other entity.

D. Choice of Forum; Jurisdiction

Any action or proceeding seeking to enforce any provision of this Agreement or based on any right arising out of this Agreement shall be subject to the exclusive jurisdiction of the state courts located in Montgomery County, PA and the federal district court in Philadelphia, PA. Each of the parties submits unconditionally to the personal jurisdiction of those courts over each party.

E. Counterparts; Fax or Electronically Transmitted Signatures

This Agreement may be signed by the parties in counterparts; each counterpart shall be deemed an original and both shall constitute a single document. A signature on a signed copy of this Agreement that has been faxed or e-mailed to the other party shall be treated by the party as an original signature. IN WITNESS WHEREOF, the parties have executed this Agreement as of the date above. By your signature below, you acknowledge having read and agreed to the provisions set forth in the attached Exhibits A and B, which are integral parts of this Agreement and are subject to mutual negotiation. TonPsy. The Therapist will receive 75% of the price listed on his profile per session.

1. Non-Exclusive Services

Your services to TonPsy are not exclusive, and you shall have the right to provide services to other recipients besides TonPsy, including its competitors if you so desire. ### 2. No Obligation to Continue the Business Relationship

Nothing set forth in this Agreement shall require you or TonPsy to continue the parties’ business relationship beyond the Term of this Agreement.

3. Electronic Systems

TonPsy agrees to provide you with access to its Availability and Assignment Network (“Network”) so that you may electronically indicate your availability to provide services to TonPsy’s Patients, electronically accept Assignments, and, if you wish, to electronically record your provision of services for purposes of payment. It is understood that the Network is not used in the actual performance of your services for a patient. Nothing in this Agreement shall require you to use TonPsy’s Network; it is for the convenience of the parties only. Further, you agree to use TonPsy’s Network only for purposes permitted by this Agreement and not to disclose to any other person or entity your User Name and Password.

4. Equipment, Facilities, and Expenses

It is understood that you are solely responsible for providing your own compatible equipment necessary to perform the services set forth in Section I of this Agreement (such as a telephone or telephone system, dictionaries, computer, Internet access, software, and notepads) consistent with industry standards and patient requirements for each Assignment you accept, and that TonPsy shall have no right to specify and require the types of equipment and facilities you select. Likewise, as an independent psychologist / therapist, you shall be solely responsible for your business expenses, costs, and expenditures and shall not be entitled to payment or reimbursement from TonPsy for any of your expenses, except to the extent set forth in Exhibit A in the case travel expenses and other out-of-pocket expenses that a patient agrees to pay, reimburse, or finance for face-to-face therapy services.

5. Business Forms; Advertising and Publicity

You are responsible for providing your own business forms including invoices and business cards. You are not required to use any TonPsy business forms, but may, if you choose, as a matter of convenience, use any business forms or systems maintained by TonPsy. Business cards may not include TonPsy’s name or logo on them. You are solely responsible for your own advertising, listings in business and professional directories, and publicity.

6. Cooperation

The parties agree to cooperate with the other in order to enhance each party’s compliance with its obligations under this Agreement. As in any independent contractor relationship, either party may cooperate with the other by offering suggestions or recommendations to the other in order to facilitate performance of services under the Agreement and/or fulfilling each party’s obligations under this Agreement, but neither party is obligated to consider or follow any such suggestions or recommendations.

“Cookies” are used to ease navigation on the website. We stock some information using these cookies. 1. patient Satisfaction and Payment

It is understood and agreed that a patient has the right to reject you or any other psychologist or therapist who accepts an Assignment to provide services to such patient. Although situations are unusual where your services do not meet the patient’s requirements or are not responsive to the patient’s request for services, you understand and agree that, in the event that a patient has determined in its sole discretion that the services you have provided in an Assignment were either not satisfactory or were not responsive to the Assignment you accepted,, it is understood that you are not entitled to receive compensation for such services to a patient Likewise, you are not entitled to receive payment for time spent by you correcting work that the patient has determined in its sole discretion is not satisfactory or responsive to its request for services. TonPsy has no obligation to correct any work performed by you. If the patient has refused or failed to pay TonPsy for your services that the patient has determined were unsatisfactory or unresponsive, any fees advanced to you by TonPsy for such services shall be returned by you to TonPsy; alternatively, it is understood that TonPsy has the right make a deduction from other fees TonPsy Independent Therapy Agreement (continued) payable to you. The patient’s determination shall be final, but if you dispute the patient’s determination, you may request that TonPsy provide further or additional information to the patient on your behalf, although TonPsy is not obligated to do so and, if it chooses to provide such information on your behalf, acts TonPsy solely as a courtesy to you and the patient and/or as a form of mutual cooperation between TonPsy and you. Where TonPsy independently determines that your services objectively fail to meet the patient’s requirements, TonPsy reserves the right not to charge the patient or to provide the patient with an adjustment in order to maintain its goodwill with the patient, and in such instance it is understood that you shall have no right to payment for such services. While TonPsy seeks Patients that are credit-worthy, if a patient for whom you have provided services fails or refuses to pay TonPsy for reasons other than the quality or responsiveness of your services, TonPsy reserves the right (after making a good faith and concerted effort to collect the fees due) to require you to return of all or part of the fees advanced to you in relation to the Assignment(s) for which the patient has continued to fail or refuse to pay; alternatively, TonPsy has the right make a deduction from other fees payable to you.

2. Licensing, Business, and/or Professional Fees; Insurance

As an independent contractor, you are solely responsible for securing any required licenses or certificates and the costs of any licensing, business, and/or professional fees and expenses. You are also solely responsible for your own business liability and other forms of insurance, and understand that TonPsy is under no obligation to provide any insurance of any nature to you. ## 3. No Participation in Any TonPsy Employee Benefit Plan

As an independent contractor, you shall be solely responsible for providing your own level of benefits, if any. It is understood and agreed, and it is the parties’ intention, that you are not eligible for and are not entitled to participate in any TonPsy employee benefit plans, which are available only to employees of TonPsy, and you have no entitlement to any TonPsy fringe benefits made available to TonPsy employees.

4. Taxes

You shall be solely responsible for, and agree to comply with, all obligations under federal, state, and local tax laws for payment of income and, if applicable, self-employment taxes and workers’ compensation and unemployment insurance premiums and payments. You shall be solely responsible for paying all federal, state and local sales, use, employment, wage, or other taxes that may arise based on the performance of services by you under this Agreement. It is understood and agreed that TonPsy shall provide you with an IRS Form 1099 on a timely basis in accordance with applicable federal, state and any applicable local income tax laws. You acknowledge that you are solely responsible for payment of your own quarterly estimated tax payments, and represent and that you will make timely and full payment of all income and other taxes and payments due by you to the federal and any applicable state and local governments and their agencies.

5. Therapy services and fees

A. Psychological Services

You agree to provide independent therapy services for TonPsy’s Patients (“Patients”) in the language(s) set forth in Exhibit A, which may be amended from time to time and may also include any specialized type of therapy service you are qualified to perform. In performing any such services for TonPsy’s Patients, you agree to do so in accordance with industry standards for the therapy industry, consistent with any applicable code of conduct, rules, laws, standards, practices, or procedures issued by a judicial, legislative, or executive governmental authority or by an organization recognized as setting industry standards or best practices.

B. Acceptance of Independent Assignments

TonPsy shall offer you, at its sole discretion, independent Therapy Assignments. You may accept or reject such Assignments at your sole discretion. It is also understood and agreed that TonPsy shall have no obligation or responsibility to provide therapy or psychological services to Patients with respect to any and all Assignments you have accepted; rather, TonPsy shall be relying upon you to provide the actual therapy or psychological services.

C. Patient Requirements

As an experienced Therapy, TonPsy shall have no obligation to provide, and agrees that it shall not provide, any training, instructions, or directions for you in the performance of your services under this Agreement. You are not required to attend any training sessions, meetings, or seminars offered by TonPsy or by any other companies or organizations, but you may, if you so choose, avail yourself of any continuing education seminars and presentations offered by TonPsy to the general public at no cost on the subject of best practices for psychologists and/or therapists. The only exceptions are (a) any training or continuing education presentations required by a judicial or other governmental agency Patients of TonPsy with respect to a specialized type of therapy or psychological, but only if you wish to accept Assignments providing such services to any such Patients of TonPsy; and (b) any training or continuing education requirements imposed by an industry association providing certifications of special competency, but only if a patient of TonPsy requires that psychologists or therapists provided by TonPsy must be certified by such association in order to fulfill the patient’s requirements and you wish to accept Assignments requiring any such certification.

G. No Supervision, Reports, or Daily Logs

You are solely responsible for supervising your own services and the services of any person to whom you have delegated, assigned, or subcontracted your services under this Agreement. TonPsy shall have no right to supervise your services or the services of any person to whom you have delegated, assigned or subcontracted your services, nor shall you be required to supervise the work of any TonPsy employee. You are not required or expected to submit any oral or written reports or daily logs to TonPsy.
